Terms & End User License Agreement (EULA)
1. Acceptance of Terms
By accessing, installing, or using the CrossyBot software (“the Software”), you agree to be legally bound by these Terms of Service (“Terms”). If you do not agree with any part of the Terms, you must not use the Software.
You confirm that you are at least 18 years old and are not located in, or a citizen or resident of, any jurisdiction where use of the Software is prohibited by applicable law, regulation, or sanctions, including but not limited to those listed in Section [Prohibited Jurisdictions].
Use of the Software constitutes your full and unconditional acceptance of these Terms, and any future updates or modifications, which may be made at any time without prior notice. It is your responsibility to review the Terms periodically. Continued use of the Software after any changes constitutes acceptance of those changes.
2. Description of Service
CrossyBot is an execution-only cryptocurrency trading automation tool. It enables users to automate trade execution based on user-defined parameters such as EMA crossover strategies. The Software integrates with the Kraken API using user-provided API keys and offers a Telegram-based interface for interaction and control.
CrossyBot is strictly a tool for executing user-directed actions. It does not provide financial, investment, or trading advice, and should not be relied upon as such. Users retain full control and responsibility over all trading decisions and parameters.
The client application is self-hosted by users, either on their own Windows device or optionally on a cloud-hosted EC2 instance. The CrossyBot API backend is hosted on a third-party platform and facilitates necessary supporting functions (e.g., account management, credit accounting, email notifications), but does not initiate trades or manage user funds.
3. License Grant
CrossyBot grants you a limited, revocable, non-exclusive, non-transferable license to use the Software solely for your personal or internal commercial purposes, in accordance with these Terms.
You may not sell, rent, lease, sublicense, distribute, or otherwise transfer or make the Software available to any third party. You may not modify, reverse engineer, decompile, or disassemble any part of the Software except as permitted by law.
This license is conditional on your continued compliance with these Terms and may be terminated at any time without notice if you breach any part of this agreement.
4. User Representations & Warranties
By using the Software, you represent and warrant that:
You are at least 18 years old and have full legal capacity to enter into and be bound by these Terms.
All funds used via the Software are lawfully obtained and not derived from any illegal activity, including money laundering or terrorist financing.
You are not subject to any sanctions, embargoes, or restrictions imposed by the UK, UN, OFAC, EU, or any other relevant authority, and you are not located in or a resident/citizen of any jurisdiction where use of the Software is prohibited.
You agree to promptly cease all use of the Software if any of the above representations become untrue.
5. User Obligations
You agree to:
Maintain the security and confidentiality of your API keys, Telegram credentials, and device(s) running the Software.
Be solely responsible for all activity conducted through your installation of the Software, whether authorised by you or not.
Not abuse, exploit, tamper with, or reverse engineer any part of the Software or its underlying systems.
Not attempt to bypass or circumvent any geographic restrictions, IP-based geoblocking, or other security measures, including through use of VPNs, proxies, or similar tools.
Any violation of these obligations may result in immediate termination of your access and may be reported to the appropriate authorities.
6. Prohibited Jurisdictions
Use of the Software is strictly prohibited in the following jurisdictions:
United States (US)
Canada (CA)
France (FR), Germany (DE), Netherlands (NL)
Australia (AU)
Singapore (SG)
Hong Kong (HK)
China (CN)
India (IN)
Any country or region subject to UK, UN, OFAC, or other applicable sanctions
You must not access or use the Software if you are located in, a citizen of, or otherwise subject to the jurisdiction of any of the above.
You agree not to use VPNs, proxies, or any other method to mask your location or circumvent geographic restrictions. IP-based geoblocking is actively enforced. Violation of this clause will result in immediate termination of access.
7. Payment & Fees
Use of the Software is free for all manual market trades and for automated trades with a notional value under $30.
For automated trades exceeding $30 in notional value, a base fee of 0.5% applies. Volume-based discounts of up to 20% may be applied automatically based on your trading activity. An additional 20% discount is available if referred by an existing user.
7. Payment & Fees
Use of the Software is free for all manual market trades and for automated trades with a notional value under $30.
For automated trades exceeding $30 in notional value, a base fee of 0.5% applies. Volume-based discounts of up to 20% may be applied automatically based on your trading activity. An additional 20% discount is available if referred by an existing user.
Payments must be made in SOL to your dedicated deposit address. Upon receipt, SOL is converted into non-refundable credits used to cover applicable fees. Once converted, credits cannot be exchanged, withdrawn, or refunded under any circumstances.
All credit purchases are final. No refunds will be provided under any event, including but not limited to user error, dissatisfaction, or unused balance.
If sufficient credits are not available at the time of execution, the trade will not be executed, and no notification is guaranteed. It is your responsibility to ensure your credit balance is adequate.
8. Referral System
To earn referral credits, the referred user must first deposit SOL and have it converted to credits, with a minimum deposit equivalent to $10 required.
Referrers earn a fixed 10% of the fees paid by their referred users. Referred users receive a 20% discount on all applicable fees.
Referral credits are automatically applied, non-refundable, and non-transferable under any circumstances. Referral activity is subject to verification and may be revoked in cases of abuse or fraud.
9. Consumer Rights Waiver (UK-Specific)
You acknowledge that the Software is intended for business and professional use only, and is not marketed or sold as a consumer product.
By accessing or using the Software, you expressly waive any right to the 14-day cooling-off period under the Consumer Contracts Regulations 2013, in accordance with the digital goods exemption. Delivery is deemed to occur at the point of download, installation, or access.
No refunds will be provided once the Software or credits have been delivered or activated.
10. Disclaimer of Warranties
The Software is provided on an “as is” and “as available” basis without any warranties of any kind, express or implied.
CrossyBot makes no guarantees regarding uptime, performance, accuracy, or reliability of the Software or its outputs. Use of the Software is at your sole risk.
To the fullest extent permitted by law, all implied warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement, are expressly disclaimed.
11. Limitation of Liability
To the maximum extent permitted by law, CrossyBot shall not be liable for any direct, indirect, incidental, consequential, or special losses or damages arising out of or in connection with the use of the Software. This includes, but is not limited to, trading losses, missed opportunities, software bugs, exchange/API outages, execution errors, or system downtime.
You acknowledge that all trading decisions are your own and that you assume full responsibility for any outcomes.
In all cases, CrossyBot’s total aggregate liability, if any, shall be strictly limited to the total amount of fees you have paid, if any, for use of the Software.
12. Indemnity
You agree to indemnify, defend, and hold harmless CrossyBot, its developer(s), affiliates, and service providers from and against any and all losses, claims, damages, liabilities, penalties, costs, or expenses (including legal fees) arising out of or related to:
Your use or misuse of the Software;
Any breach of these Terms;
Any violation of applicable law or regulation;
Any third-party claims or regulatory actions resulting from your actions or use of the Software.
This indemnity survives termination of your use of the Software.
13. Data & Privacy
CrossyBot does not sell, rent, or share your personal data with third parties.
API keys and Telegram bot tokens are stored locally on your device and are never transmitted to CrossyBot servers. The local database is encrypted using SQLCipher and decrypted only at runtime. Only minimal operational data (e.g., username, deposit address, credit balance) is shared with the CrossyBot API server.
All stored passwords are hashed, and data handling practices are designed with GDPR principles in mind — including data minimisation, purpose limitation, and security by design.
14. Security Responsibilities
You are solely responsible for securing your API keys, Telegram credentials, seed phrases, and any other sensitive information used with the Software.
CrossyBot does not store or have access to your private keys or trading credentials. We accept no responsibility or liability for any loss, theft, or compromise of credentials resulting from your actions, negligence, or failure to maintain proper security.
15. Crypto Risks Disclaimer
You acknowledge that cryptocurrency markets are highly volatile and inherently risky. By using the Software, you assume full responsibility for all trading and investment decisions.
You accept that bugs, latency, network issues, theft, exchange/API errors, or failed trades may occur, and that these risks rest entirely with you.
CrossyBot makes no guarantees regarding trade execution, timing, pricing, or outcomes. Use of the Software is entirely at your own risk.
16. No Financial Advice
The Software is a technical tool for automating user-defined trading strategies. It does not provide financial, investment, or trading advice.
All trade parameters and decisions are fully controlled by you. CrossyBot does not and will not act as a financial advisor.
Nothing in the Software or related communications should be interpreted as a recommendation or endorsement of any trading strategy, asset, or financial decision.
17. Intellectual Property
All rights, title, and interest in and to the Software, including all code, design, content, branding (including the name “CrossyBot”), and related materials, are the exclusive intellectual property of the developer.
You may not copy, reproduce, distribute, modify, reverse engineer, decompile, or create derivative works from any part of the Software.
Any feedback, suggestions, or ideas submitted by users become the sole property of CrossyBot, with no obligation of compensation or attribution.
18. Third-Party Services Disclaimer
The Software integrates with third-party services including, but not limited to, Kraken, Telegram, and SOL RPC providers. These services are not controlled by CrossyBot and are used entirely at your own risk.
CrossyBot is not liable for any failures, downtime, inaccuracies, API changes, or disruptions caused by these third-party services, nor for any resulting losses or issues.
19. Feedback & Suggestions
By submitting any feedback, ideas, or suggestions regarding the Software, you grant CrossyBot a perpetual, worldwide, royalty-free, and unrestricted right to use, modify, and incorporate them into the Software or other products.
You agree that no compensation, acknowledgment, or obligation is owed to you for any such input.
20. Modifications
We reserve the right to update or modify these Terms at any time. Material changes will be communicated via the Software or official channels.
Your continued use of the Software after any changes constitutes your acceptance of the updated Terms. It is your responsibility to review the Terms periodically.
21. Termination
We may suspend, restrict, or terminate your access to the Software at any time, with or without notice, particularly in the event of a breach of these Terms.
No refunds or compensation will be provided in the event of termination. We reserve the right to block or disable accounts or installations at our sole discretion.
22. Force Majeure
CrossyBot shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control. This includes, but is not limited to, acts of God, war, terrorism, cyberattacks, changes in law or regulation, natural disasters, power or internet outages, exchange or network failures, and third-party service disruptions.
23. Arbitration & Class Action Waiver
Any dispute arising out of or relating to these Terms or the use of the Software shall be resolved by binding arbitration under UK arbitration rules. You waive the right to bring or participate in any class action, group litigation, or jury trial against CrossyBot.
All claims must be brought individually and not consolidated with any other proceeding.
24. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
Any legal action or proceeding arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
